According to the text, a partnership is an agreement between two or more people to form a business and to make money (Miller, 2016). A limited liability company (LLC) is “a hybrid form of business enterprise that offers the limited liability of the corporation but the tax advantages of a partnership” (Miller, 2016, p.462). The reasons for this conversion are most likely due to taxes and liability. This is an advantage for eHarbour.
In the state the Florida, LLC costs about $125 and the registered agent will be eHarbour (Gerardine, 2023). The fees for LLC requirements vary by state, but the process is similar (Upcounsel, n.d.). eHarbours business assets will be transferred to LLC, the partnership will be canceled, and new bank accounts will be created. LLCs should be manager-managed because they are the ones who created the business and who oversee overseeing the company. Renewal requirements in Florida include the following: LLC name, address, titles, and File Form 1065 mailed to the state of Florida. An S Corporation will not be required to pay income taxes at the corporate level, must have only one class of stock, and can be shareholders under certain circumstances (Miller, 2016). I may be difficult for eHarbour to be treated as Subchapter S, because they could have more than one class stock, making them ineligible for an S Corporation.
