On May 15, 1977, D. Arth-Vader (Vader) founded Empire Ranch (Empire). Empire’s sole purpose was to breed the fastest and most enduring racehorses the world had ever seen. Over the years, Empire became famous for the quality and speed of its horses. Its fame spread far and wide. After decades of success, Vader decided it was time to retire. Skywalker Ranch made a very generous offer to purchase Empire. After prolonged negotiations, Vader and Luke (president of Skywalker Ranch) entered into a contract for the purchase and sale of Empire. Shortly after the sale was completed, a dispute arose about whether or not the following items were included in the sale. The contract was silent concerning these items:
1. A collection of ten antique saddles. These saddles are mounted in the ranch house. Each saddle is held in place by five bolts and two safety straps. Each bolt was custom-made to blend in with the décor of the ranch.
2. An autographed picture of Vader shaking hands with (then) Senator Joe Biden. The picture hangs in the front office and is held in place by four screws and a safety strap. The screws and the strap can be easily removed.
3. A large gun safe (weighing 1,250 pounds) that is bolted to the floor in Vader’s office. The safe, which is now empty, was used to safely store Vader’s collection of antique weapons.
4. A horse trailer. The trailer can hold up to four horses. Vader purchased the trailer over ten (10) years ago and uses it every weekend to transport his favorite horses to various races.
