When corporate owners use the entity to perpetuate a fraud, circumvent the law, or in some other way accomplish an illegitimate objective, a court will “pierce the corporate veil”, exposing shareholders to personal liability.
How do you feel about the courts piercing the corporate veil of a small family corporation where the officers used the corporate credit card for business expenses as well as home expenses due to lax company procedures? Also answer these two questions:

Allison operates a pizza establishment and has run into difficult economic times. Just when Allison feels that her business is finally going well, a new pizza place opens nearby. Allison cannot stand the thought of again facing bankruptcy for a business that she has worked so hard to start. Allison contacts the suppliers of the new pizza place and tries to convince them not to deal with the new place. The creditworthiness of the new restaurant is lied about, and the moral character of the owner is called into question. What torts has Allison committed? What defense(s) might she assert? What ethical issues are presented by Allison’s behavior? How can they be resolved?
Thoroughly explain your answer. Fully describe the applicable laws, and then apply them to the material facts. Explain your analysis. If you make assumptions of fact, fully explain them. Remember to address every reasonable legal issue fully.
For Assignment 2, a simple essay format is acceptable. Write at a university level, being thorough and scholarly at all times. Your paper should be a minimum of 2 pages, double-spaced, not including the reference page, and contain APA citations.

Several years after the market crash of 2008, legislation was introduced in the Michigan House of Representatives that proposed penalizing employers for discriminating against unemployed individuals. As drafted, the ‘Fair Consideration of the Unemployed Act’ prohibited employers from advertising employment opportunities suggesting current employment was a job requirement. Ultimately, the Fair Consideration of the Unemployed Act never left the House of Representatives and was never enacted. However, in light of the economic shutdown triggered by COVID-19, circumstances are ripe for the reintroduction of similar legislation.

Employment status is not a protected class recognized by the Civil Rights Act or any of the other statutes we will discuss as part of this course. Some states have been successful in implementing protections similar to those contemplated by the Fair Consideration of the Unemployed Act, but in other states efforts to implement such laws have been contested as a constraint on business and a red-carpet invitation for frivolous lawsuits by allegedly aggrieved applicants. Based on your own experiences, or those of friends and family, do you think it should be? Why?

Use the Facts, Issues, Law, Analysis, Communication/Conclusions (FILAC) method for your
selected case and review each according to the categories set out in the Rubric. Do not include
a copy of the case in your submission.
In a court case, discuss the facts and issues in the case, noting the arguments presented by the
plaintiff/defendant and/or appellant/respondent parties, and analyse and discuss the decision
given by the court. There may be more than one court case relating to a dispute. You should
work through all of them and extract the information which is relevant the course section topic:
contract law, securities law, competition law, or employment law. Do not discuss costs.
Be sure to identify and discuss the ratio decidendi and the obiter dictum, if you can identify
them. This is often difficult. Examine the literature for analysis, comment, and opinion on the
case. Comment on if and how the case has influenced the law.
The assignment should be approximately 5 – 6 typed pages: single spaced; 12 pt. font;

vi. Analysis of the court decision. What is the decision by the court on the legal issues
/ facts / arguments raised? Does it make sense when compared to what you’ve
learned in the course? Compare and contrast what the court decided with what the
course taught. Discuss inconsistencies, if any.
vii. Referencing is to paragraphs which are at the beginning of each paragraph by [ ]
notation. As this assignment is a case summary you do not have to reference each
fact. Only reference direct quotations but keep direct quotations to a minimum.
